Lead Referral Program Agreement

This Lead Referral Program Agreement (the "Agreement") is entered into between Rack Storage Solutions (hereinafter referred to as the "Company") and the "Agent." This Agreement outlines the terms and conditions under which the Agent may participate in the Company’s lead referral program.

1. Definitions

  • Lead: A prospective customer or client referred to the Company by the Agent.

  • Deal: A transaction resulting from a Lead that is fully closed and funded by the Company.

  • Agent: The individual or entity participating in the referral program by submitting Leads.

2. Referral Commission Structure

The Company agrees to pay the Agent a referral commission for successfully referred Leads as follows:

  • All new agents start at a 3% referral commission for each successfully closed and funded Deal.

  • The referral commission rate will increase incrementally based on the cumulative number of successful Deals referred by the Agent:

    • 4% for Deals 1–10 referred

    • 5% for Deals 11–20 referred

    • 6% for Deals 21–30 referred

    • 7% for Deals 31–40 referred

3. Referral Eligibility

To be eligible for referral commission, the following conditions must be met:

  • The Lead’s information must be submitted accurately through the official form at www.rackstoragesolutions.com/agent.

  • Submitted Lead information must include:

    • Agent’s full name and phone number (first and last name)

    • Lead’s phone number

    • Address of the new property

4. Payment and Payout

  • Referral commissions will be paid to the Agent once the referred Deal is fully funded and closed, in accordance with the commission structure outlined in Section 2.

  • Payments will be made within 30 days of the Deal closing, via a payment method determined by the Company.

  • If a Deal is reversed, canceled, or otherwise fails after payment, the Company reserves the right to recover or offset the referral commission.

5. Commission Cap

The maximum referral commission rate payable to the Agent is 7% of the total Deal value. This cap applies regardless of the total number of successful Deals referred.

6. Compliance with Laws

The Agent agrees to comply with all applicable local, state, and federal laws, rules, and regulations in connection with their participation in the referral program, including but not limited to data protection and privacy laws.

7. Confidentiality

The Agent agrees to keep all non-public information about the Company, its clients, and business operations confidential and shall not disclose such information to any third party without prior written consent from the Company.

8. Non-Exclusivity

This Agreement does not create an exclusive relationship between the Company and the Agent. The Agent is free to participate in other referral programs or engage in other business activities.

9. Tracking and Reporting

  • The Company will maintain records of referred Leads and Deals.

  • The Agent may request reports on their referrals and commissions at any time.

  • Any disputes regarding referrals must be submitted in writing within 30 days of the disputed transaction.

10. Limitation of Liability and Indemnification

  • The Company shall not be liable for any indirect, incidental, or consequential damages arising out of or related to this Agreement.

  • The Agent agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities resulting from the Agent’s breach of this Agreement or violation of applicable laws.

11. Privacy and Data Use

The Agent consents to the collection, use, and storage of submitted Lead information in accordance with the Company’s Privacy Policy. The Agent shall ensure that all submitted Lead information is collected and shared in compliance with applicable privacy laws.

12. Termination

Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, all outstanding commissions owed to the Agent will be paid in accordance with this Agreement.

13. Dispute Resolution

Any disputes arising out of or related to this Agreement shall first be attempted to be resolved through good faith negotiations. If unresolved, the parties agree to submit the dispute to binding arbitration under the rules of [Insert Arbitration Organization] in [Insert Jurisdiction].

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of laws principles.

15. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
